Law and Business Program of Study

Lawyers practicing in business-related areas – corporate law, real estate, tax, business litigation, many areas of government regulation, and aspects of nonprofit representation – need to acquire skills in three areas: basic analytics (accounting, finance, economics), an appreciation of transactions, and relevant fields of law. Most courses at HLS fall in the latter area, and a major benefit of all such courses is that they indirectly expose students to principles in the former two areas. For example, a course in Antitrust Law will enhance understanding of mergers, vertical distribution arrangements, and other market interactions. Most of what follows concerns courses in business law per se. Regarding basic analytics, it is very useful to take Analytical Methods for Lawyers (especially if your background in economics and finance is not strong) and/or courses at HLS or at other schools in Accounting, Finance, and Economics. Additionally, occasional offerings such as Real Estate Law – often best appreciated after taking some business law courses – are quite helpful in the second area. Courses in Negotiation can be helpful regarding both analytics and transactions, in addition to being directly valuable. Students interested in Law and Business should also consider the joint JD/MBA program with Harvard Business School .

Foundational Courses in Business Law

Corporations, taken by many students whether interested in pursuing a career in business law or not, is the base on which all advanced corporate and related courses build, and is a prerequisite or recommended course in related areas (such as Taxation of Business Corporations).

Corporations is taught by Professors Coates, Jesse Fried, Hanson, Kraakman, Ramseyer, Spamann and Subramanian in different years. Content, focus, and approach may vary significantly from professor to professor and over time. Students should read the course descriptions before choosing which Corporations class to take.

Likewise, all students interested in business law (and in most other legal careers) should take Taxation, another course taken by many HLS students. Taxation permeates nearly all areas of law practice (including litigation, family law, and nonprofit advising), so tax literacy is a minimal, but significant, requirement. Taxation is taught by Professors Brennan, Desai, Kaplow, and Warren in different years, as well as by visitors with a variety of backgrounds. The content, focus, and approach of these courses are fairly similar.

For students with no intention of becoming “corporate lawyers” or even general business lawyers, Corporations and Taxation provide an understanding of the legal regimen under which most business is conducted in the U.S., the rules that determine when corporations and corporate officials may be held liable, the ways in which corporations are likely to respond to regulation or litigation, and how various corporate activities are taxed (although the latter requires more advanced study as well). Such an understanding is valuable for litigators, government officials, prosecutors, criminal defense lawyers, and legal services attorneys, not to mention investment bankers, business consultants and entrepreneurs. Additionally, non-profits (such as Harvard University) are organized as “corporations.”

Students who have no background in accounting and contemplate a career in corporate law should take Introduction to Accounting. Students with no background in corporate finance should also take Introduction to Finance Concepts. We would also recommend Business Strategy for Lawyers, which presents the fundamentals of corporate and competitive strategy and through both traditional lectures and business-school case discussions. Topics include competitive advantage, industry analysis, strategic positioning, incentives, corporate control, firm scope, network externalities, and innovation. For an introduction to financial statement analysis for business valuation, we would recommend taking Business Valuation and Analysis.

Business law practice varies substantially, even for “corporate lawyers,” and because practice is increasingly both specialized and changeable, it is difficult to give strong guidance about what courses to take beyond the basics. Students should know that many large law firms expect attorneys to spend almost all their time on corporate transactional work (this is what “corporate lawyer” means to most practitioners). Some firms specialize in deals involving large public companies, often heavily regulated by industry and always subject to extensive federal securities regulation. For this reason, Securities Regulation is often a useful course for students to take. Other firms primarily represent private or family-owned corporations, for which tax or estate planning often takes precedence over securities law. Corporations themselves offer full time, in-house legal practice involving transactional work and a variety of more general “corporate” legal questions, ranging from employment and labor law to intellectual property law to commercial law.

Students often will not know which type of practice they will end up pursuing. Students thinking of Wall Street law firms or investment banks may want more exposure to corporate finance, securities, and international issues. Students thinking of a law firm in a large or mid-sized regional city, or an eventual move “in-house,” may want more exposure to courses relevant to employment disputes, lending relationships, and real estate transactions. As noted, general tools like accounting, business planning, contract negotiation, valuation and basic statistics may benefit lawyers in a wide range of practice areas. The Analytical Methods course is an effective way for students to begin to build these skills.

HLS offers a variety of business law and related courses, and students should remain flexible to take advantage of special courses offered by visiting professors or in the Winter Term. Consultation with professors teaching in the field should be helpful in making course selections.

Intermediate Corporate Law Courses

Two important intermediate courses that build on Corporations are Securities Regulation and Corporate Finance.

Securities Regulation covers the federal laws and regulations governing the public offering, sale and trading of stocks and other types of securities, and thus is the primary course focusing on initial public offerings (IPOs) and the process of “going public.” The approach is primarily statutory and regulatory, covering the Securities Act of 1933, important elements of the Securities Exchange Act of 1934, and an overview of the work of the SEC.

Corporate Finance provides a theory- and policy-oriented approach to important, advanced topics affecting corporations, including valuation (discounting, net present value, uncertainty), debtholders’ rights (protective covenants, debt/equity conflicts), reorganization and bankruptcy, and hostile takeovers. It examines advanced topics in corporate law from a perspective informed by economics and finance. The two principal areas of law covered in the course are (1) relations between corporate debtholders and equity holders, both in the solvent firm and in bankruptcy, and (2) mergers and acquisitions. Both topics are addressed in some depth, although not with as much attention as they would receive in entire courses devoted to corporate reorganizations or mergers and acquisitions. In addition, corporate finance provides a brief introduction to financial economics, including discounting, analysis of risk, pricing models, and market efficiency. This course is not a substitute for financial economics as this would be taught at the MIT Sloan or Harvard Kennedy School, however.

In addition, there are a number of courses that might be of interest to those studying business law offered throughout Harvard University. The Business School, for example, regularly offers courses on valuation and finance theory.

Advanced Corporate Law Courses

Each of the following courses covers advanced areas of corporate law practice in more detail, using a variety of methodological approaches. Not all courses listed below are offered each year.

Mergers and Acquisitions taught in different years (and under slightly different titles) by Professors Coates, Gordon, and Subramanian, covers corporate and securities law issues relevant to mergers and acquisitions of large public companies, including the Williams Act, proxy rules, state case law, and important forms of private ordering (such as poison pills, lockups, and earnouts). It also touches on basics of accounting, tax, and antitrust relevant to a lawyer working on such transactions. The approach is practical rather than theoretical, and the focus is on law, not finance. In addition, Negotiation Advanced: Deals, offered by Professor Subramanian jointly between HLS and HBS, focuses on the negotiation of corporate deals generally. Venture Law and Finance, taught by Professor Jesse Fried, deals with financial contracting, governance, and fiduciary-duty litigation in startups backed by venture capitalists. Antitrust Law is another valuable course in this area.

Corporate Theory, offered occasionally by Professor Kraakman and Professor Elhauge, Corporate Control, offered occasionally by Professor Coates, and Corporate and Capital Markets Law and Policy, offered by Professor Bebchuk, are similar discussion/reading seminars that focus on advanced, current or ongoing research on corporate legal issues. Topics vary from year to year but have included policy analysis of takeover law, limited liability, ownership and financial structure.

Corporate Governance of the Public Firm, offered in some years by Professor Roe, focuses on current academic thinking about corporate governance and ownership, divided among various topics.

Regulation of Financial Institutions covers broker-dealer regulation, insurance regulation and banking regulation.

Regulation of Financial Markets, offered in some years by Professor Jackson, covers the stock and commodities exchanges and the government agencies charged with regulating them. Corporate Finance should be taken prior to this seminar.

Advanced Taxation Courses

Taxation of Business Corporations is the advanced tax course taken most often by those who go beyond the basic Taxation course, which is a prerequisite. Corporations is strongly recommended as a preparation. The course covers the federal income tax issues involved in the organization, operation, and restructuring of U.S. businesses, whether structured as corporations, partnerships, or limited liability entities. Additionally, with the increasingly multinational nature of business activities, International Tax has become ever more valuable.

For those interested in being tax lawyers per se, you should certainly take every tax course offered (or nearly so), including Trusts and Estates. In addition, most tax practice is in connection with other activity, so it is important to take other courses such as Corporations and some more advanced offerings as well as courses in other areas ranging from pensions and family law to Law of Nonprofit Organizations.

Bankruptcy and Commercial Law Courses

Much business law practice, whether centered on corporations or real estate deals, is greatly concerned with financing. Accordingly, it is helpful to know the law pertaining to creditor-debtor relationships, both in the ordinary course of business (Commercial Law: Secured Transactions) and in the event of business distress (Bankruptcy; Corporate Reorganizations).

International/Comparative Law Courses

In addition to the basic and core U.S.-centered courses described above, HLS offers several courses on advanced corporate law topics with an international or comparative dimension.

International Finance examines policies and regulation affecting cross-border banking and securities transactions in three major markets, the United States, the European Union and Japan.

International Trade Law examines the fundamental principles of international trade rules, the relationship between trade and environmental concerns, and domestic remedies to international trade violations.

International Antitrust Law explores competition policy outside the U.S.

Clinical Offerings

Business and non-profit clinic opportunity.

The Transactional Law Clinic engages students in a wide range of transactional legal work including entity formations, contract drafting, sales and acquisitions, licensing, corporate governance, intellectual property matters, and many other kinds of hands-on practice-based legal experiences. Students are immersed in an applied learning context, counseling and representing transactional clients under the supervision of an experienced practitioner. Enrollment in the clinic is through the Clinical Program.

Associated Areas of the Law

Students interested in a possible career in corporate law should, as suggested previously, strongly consider one or more of the following related areas.

Negotiation/Mediation/ADR : A common and important function of corporate practitioners is to represent clients in negotiations and settlements with other corporations, employees, and government agencies. Students interested in corporate law should consider taking one of HLS’s many courses and workshops in negotiations and related fields.

Employment/Labor Law ,  Intellectual Property Law , and  International Law  (especially finance and trade) are areas of the law that all business lawyers encounter from time to time, and which some corporate lawyers encounter routinely. Students preparing for a business law practice should consider taking one or more representative courses in these fields.

Law and Economics : Economic analysis is also an important element of business. Students should consider taking one or more of the Law School’s law-and-economics offerings, such as taught by Professor Shavell. Also, as noted, economics-oriented seminars at HLS usually devote attention to corporate and related research topics.

Sample Schedule

Core courses.

In addition to the Wharton Doctoral course requirements, the student’s four-course unit core in the Legal Studies and Business Ethics Department consists of two required doctoral seminars, LGST 9200 Ethics in Business and Economics, and LGST 9210 Foundations of Business Law. The remaining two LGST courses may be selected from a list of LGST courses that the faculty coordinator has approved.

Students without basic law courses will be required to take LGST 1010 in their first semester. Students will take LGST courses, other than Ph.D. seminars, under an independent study number, meet with the instructor periodically outside class, and write a paper. These requirements should be satisfied through courses taught by members of the LGST standing faculty, though exceptions will be made in special circumstances. The requirements may be adjusted for students with law degrees.

Ethics and Law in Business Courses

The EU’s forthcoming AI Act imposes requirements on companies designing and/or using AI in the European Union, and backs it up with stiff penalties. Companies need to analyze where they might fail to be compliant and then operationalize or implement the requisite steps to close the gaps in a way that reflects internal alignment. For most companies, that won’t be easy. The article lays out what boards, C-suites, and managers need to do to make this process work and ensure their companies will be compliant when regulation comes into force.

Earlier this month, member states of the European Union unanimously voted in favor of the AI Act , paving the way for its official passage in March or April of this year. Put simply, the Act is akin to Europe’s General Data Protection Regulation (GDPR), passed in 2016, but for artificial intelligence. The regulation imposes requirements on companies designing and/or using AI in the European Union, and backs it up with stiff penalties. Most violations of the act will cost companies €15 million or 3% of annual global turnover, but can go as high as €35 million or 7% of annual global turnover for violations related to AI systems that the act prohibits (e.g., using AI-enabled manipulative techniques, or using biometric data to infer private information).

  • New State Data Privacy Laws in 2024

U.S. privacy laws continue to develop in the new year, as several jurisdictions have enacted and updated privacy legislation. There are now 15 states with comprehensive data privacy laws: California, Colorado, Connecticut, Delaware, Florida, Indiana, Iowa, Montana, New Jersey, New Hampshire, Oregon, Tennessee, Texas, Utah, and Virginia. Though currently only California's data privacy law is applicable to employee personnel data, even if covered by a state data privacy law(s) other than California, employers should consider whether its human resources function will need to play a role in ensuring compliance with such laws (e.g., administering training and implementing policies for employees who come into contact with the data subject to the law(s)). In addition, employers should monitor proposed privacy data legislation that may implicate employee personnel data and be aware that many states have already passed laws related to employee privacy, such as employee monitoring, employee social media, and the like.

Below we provide a summary of key takeaways from some of the new data privacy laws.

State Data Privacy Updates

  • New Jersey: New Jersey's comprehensive data privacy law takes effect on January 15, 2025. The law applies to entities that conduct business in New Jersey or produce products or services that target New Jersey residents, and that (1) control or process personal data of at least 100,000 New Jersey consumers; or (2) control or process personal data of 25,000 New Jersey consumers and derive revenue or receive discounts from the sale of personal data. The law is similar to other state privacy laws in that it grants consumers the right to confirm the use of their personal data, correct inaccuracies in their personal data, and obtain copies of their personal data. Additionally, consumers may opt out of data processing for targeted advertising, sales of personal data, and profiling. Moreover, the law requires entities to enter contracts with data processors governing data processing procedures. Entities must also obtain consent before processing the data of consumers aged 13 to 17 for targeted advertising, sales, or profiling.
  • New Hampshire: The New Hampshire Data Privacy Act takes effect on January 1, 2025. The Act applies to entities that conduct business in New Hampshire or produce products or services that target New Hampshire residents, and that (1) control or process personal data of at least 35,000 consumers, excluding personal data or data processed solely for the purpose of completing payment transactions; or (2) control or process personal data of at least 100,000 consumers and derive more than 25 percent of their gross revenue from the sale of personal data. Under the Act, consumers may access, delete, correct, and opt out of targeted advertising. Entities must provide notice to consumers regarding the types of personal data the entity possesses, the purpose for processing personal data, the contact information of the entity, the third parties that will receive the personal data, the categories of personal data shared with third parties, and the consumer's ability to exercise their consumer rights. Additionally, entities have 45 days to respond to consumer data subject requests.
  • Montana: Montana's Consumer Data Privacy Act takes effect on October 1, 2024. The Act applies to entities that conduct business in Montana or provide products or services to Montana residents, and that (1) control or process the personal data of at least 50,000 Montana residents; or (2) control or process the personal data of at least 25,000 Montana residents and derive more than 25 percent of their revenue from the sale of personal data. Among other things, the Act requires entities to inform consumers about the collection and processing of their data and to notify consumers if their data is shared with third parties. The Act also has stringent requirements for processing personal data of consumers aged 13 to 15.
  • Florida: Florida's Digital Bill of Rights takes effect on July 1, 2024. The Act primarily applies to entities that generate more than $1 billion in gross revenue and that (1) generate at least 50 percent of their global annual revenues from the sale of online advertisements; (2) operate an apps store or digital distribution platform with at least 25,000 apps; or (3) offer consumers smart speakers with voice-enabled assistants. Florida's Digital Bill of Rights differs from existing state privacy laws in that it requires entities to have two separate notices on their website informing consumers that their sensitive data and biometric personal data may be sold. The Act also requires search engines to provide descriptions of the main parameters used to determine the ranking of search results. Additionally, the Act prohibits entities from retaining consumer personal data for more than two years.
  • Texas: The Texas Data Privacy and Security Act takes effect on July 1, 2024. The Act applies to entities that (1) conduct business in Texas or produce a product or service consumed by Texas residents; (2) process or engage in the sale of personal data; and (3) are not a small business. The Act requires entities that sell sensitive or biometric data to include disclosures in their privacy notices. Entities must also receive consent from consumers before processing sensitive information—including, but not limited to, information regarding a consumer's ethnicity, religious beliefs, health, sexuality, or citizenship. Moreover, the Act requires entities to conduct data protection assessments and implement safeguards to protect the confidentiality and integrity of personal data.
  • Oregon: Oregon's Consumer Privacy Act takes effect on July 1, 2024. The Act applies to entities that conduct business in Oregon and control or process the personal data of (1) at least 100,000 Oregon residents, excluding personal data controlled or processed solely to complete payment transactions; or (2) at least 25,000 Oregon residents while generating more than 25 percent of their gross revenue from the sale of personal data. Among other things, the Act requires entities to provide comprehensive privacy notices and conduct data protection assessments. The Act prohibits entities from processing consumer personal data for targeted advertising, profiling, or selling without consent if the consumer is aged 13 to 15. Notably, the Act allows Oregon residents to obtain a list of third parties that receive their personal data or any other personal data.

As more states enact comprehensive data privacy laws, employers should evaluate whether these laws are applicable to their business. Employers are encouraged to develop policies and protection programs to ensure compliance with these laws by the approaching deadlines.

McCarthy Tétrault experiments with AI tools expected to reshape how law firms operate

Commercial real estate lawyer Sarit Pandya needed some grunt work done. The partner at McCarthy Tétrault was acting for a lender who had financed a property deal involving two owners, and he needed someone to go through the co-ownership agreement, summarize the document and prepare a breakdown of the liquidity provisions.

Typically, this monotonous task would fall to a junior associate. But not anymore.

Late last year, McCarthy launched pilot projects for three new generative artificial intelligence programs within the firm. So instead of tying up an associate’s afternoon, Mr. Pandya was able to upload the relevant document himself, bang out a few sentences of instruction and get back exactly what he needed in seconds.

“I asked it a pretty vague and technical question and it got it right,” he said. “This is something I still might ask a junior to do as a learning piece. But when you’re in a rush, this was really easy.”

Few topics in the legal world are as buzzy right now as AI. Depending on the area of law, AI is either the bringer of doom – commoditizing work such as contracts, incorporations and wills – or a welcome innovation that will improve efficiency within firms. What everyone agrees upon is that AI, particularly generative AI, will be a great disrupter for the legal sector.

And for their part, McCarthy has decided to lean in. It began heavily investing in AI about seven years ago when it acquired Wortzmans, a niche law firm that specialized in e-discovery and data governance. The firm was rebranded as MT>3 and now operates as a division within McCarthy. MT>3 uses machine learning to build AI models that can analyze vast amounts of records and evidence, pulling out and analyzing the most relevant material.

“The traditional model for document review would have been an army of reviewers sitting in a room together, going through hundreds of thousands of documents. It could take months and be very expensive,” said David Cohen, a senior director with the firm’s innovation group.

“What we found is we saved time, we saved money and there was no diminishment in quality of the review.”

Now, generative AI – which can innovate and be creative – is the new frontier, according to Mr. Cohen.

In December, after several months of testing the tools with smaller user groups, McCarthy launched their generative AI programs across every practice group, region and staff level.

The first, ChatMT, is the firm’s own version of ChatGPT, but protected within McCarthy’s security network to keep client information secure.

The second is Microsoft’s Copilot system, which lawyers can use to do things such as: create a timeline of discussions with a client based on their e-mail history, generate a PowerPoint deck using uploaded files or prepare a summary of a Teams meeting.

The third is CoCounsel, which is what Mr. Pandya used for his contract analysis. The program’s advantage, Mr. Cohen said, is that last year, its parent company, Casetext, was acquired by Thomson Reuters, which operates a suite of law research platforms. This enables CoCounsel to pull from services such as Westlaw. (Both Thomson Reuters and The Globe and Mail are owned by Woodbridge Co. Ltd.)

Jake Heller is the co-founder of Casetext. He said that, at a high-level, CoCounsel is supposed to function as an AI legal assistant.

Mr. Heller himself is a trained lawyer. After graduating from Stanford Law School, he spent a year clerking for a judge at an appeals court and then worked as an associate at a large law firm, Ropes & Gray LLP. But having grown up in the San Francisco Bay Area, he had always been really into computers and coding. The more he worked in law, the more he realized how behind the legal profession was.

“The feeling I felt was that the tech was working against me,” he said. “I knew I could do something really trivial – find an open vegetarian Thai restaurant near my house – using Google. But if I wanted to find the one case that could exonerate my client. I’d be up until 4 a.m.”

This was the thinking behind Casetext, which Mr. Heller founded in 2013.

Two months into McCarthy’s pilot, Mr. Pandya says he’s using CoCounsel most often to speed-up the writing process.

“I can ask CoCounsel: ‘Draft me a letter to person X about topic Y with a relatively forceful tone,’ and it will produce something I can use as a starting point,” he said.

Mr. Cohen said the firm’s AI policy clearly notes that all output from AI software must be verified, “which is something that they would be doing if they were asking an articling student to prepare a research memo.” McCarthy is also selective about what AI tools it uses and for what.

“One of the reasons we’re comfortable with CoCounsel is that it’s not prone to hallucinations,” he said.

This is particularly relevant given a recent case out of British Columbia in which Vancouver lawyer Chong Ke was found to have used ChatGPT to prepare materials in a family law case. The document cited cases that didn’t exist. Ms. Ke said she was not aware that AI could generate fictitious case authorities – or as court heard, an AI hallucination – and that she was “deeply embarrassed” about the error.

Robin MacAulay, McCarthy’s chief professional resources officer, said that, with AI taking on a larger role in the day-to-day, the firm is working on new training for junior lawyers that will replicate some of the learning that comes with executing those seemingly mundane research tasks.

The upside, she said, is that their associates and students will be freed up to tackle more complex work earlier on in their careers – which is music to Mr. Heller’s ears.

“The legal profession used to be more of an apprenticeship. At a law firm, you’re taken on to be the future of the law firm. Over the last 50 or so years, we’ve gotten away from that,” he said.

“The point of associates wasn’t to grind them through a bunch of menial tasks until they quit or become partner, it was to train them. I think with AI, we’re going to return to that.”

The Core of the Tax Code Will Change, but We Don’t Know How

Important regulations expire at the end of next year, thwarting tax planning and creating a monumental fiscal challenge for Congress.

Navigating the byzantine U.S. tax rules and completing your return may be enough of a headache.

But you can count on fresh tax stress coming from Washington not far down the road.

On Dec. 31, 2025, critical parts of the 2017 federal tax law are scheduled to expire. After that sunset, they would revert to what they would have been if that sweeping tax legislation , passed in the first year of the Trump administration, had never taken effect.

Core features of the tax code will be up for grabs: what tax rate you have to pay, how big the standard deduction will be, how business income will be treated, what the exemption limits will be on big-ticket items like an inheritance or a gift, and the federal deduction you can take for state and local taxes.

Sound confusing? Well, consider this.

If Congress does nothing, the tax code in 2026 will suddenly shift to what it would have been if the law had never changed, effectively generating trillions of dollars in extra liabilities for taxpayers and an equal amount of revenue for the federal government. As if that weren’t complicated enough, the tax code before the 2017 law included provisions for future inflation adjustments — and there has been a lot of inflation over the last few years. These adjustments need to be applied if the law sunsets, as scheduled, making the actual numbers for important things like federal tax brackets difficult to estimate.

Just keeping the current tax code intact might seem to be a better alternative. But that isn’t likely because it would be staggeringly expensive.

The Congressional Budget Office has “estimated that extensions of all provisions that are scheduled to either expire or become less generous would cost $3.5 trillion” by 2033. A handy analysis by the Congressional Research Service breaks down the major components, piece by piece.

The Source of the Uncertainty

This slow-moving tax storm is a direct consequence of the tax overhaul of 2017.

For most Americans, but not all, taxes declined.

Many people in states with high state and local taxes experienced tax increases because state and local tax deductions were capped at $10,000. That’s the infamous SALT cap. The expiration of that provision would be good news in these neighborhoods. In most of the country, though, the net effect of the tax overhaul was a lightened burden.

This largess made the tax law expensive, on a gargantuan scale. Congress estimated that it would cost the federal government $1.5 trillion in forgone tax revenue by 2027. But Congress offset the cost by building in the Dec. 31, 2025, expiration — a delayed series of tax increases for most people in the country, starting in 2026, if it’s all allowed to take place.

In 2025 — or sometime in 2026, if Congress’s aversion to meeting critical fiscal deadlines is any guide — congressional leaders and the next president will be thrashing out a solution to this entirely predictable tax dilemma.

Whoever the politicians are, they will try to avoid tax increases and probably also try to avoid increasing the budget deficit much. In no small part because of the 2017 tax cuts, the deficit reached $1.7 trillion in the 2023 fiscal year.

Some kind of tax deal will eventually be reached. But I really have no idea what the tax code will look like in 2026.

In an ideal world, you wouldn’t run a tax system this way, but this is what we’re stuck with.

Canceling Some of the Sunset

Aside from the cap on state and local tax reductions, here are highlights of changes in the tax code scheduled to take place in 2026, provided by the Congressional Research Service. The service relied on Congressional Budget Office estimates of what it would cost by 2033 if specific parts of the 2017 tax were extended:

Marginal tax rates. The highest rate will rise to 39.6 percent from 37 percent. The income levels for seven tax brackets will be lowered, raising tax liabilities for millions of people. The cost of extending this part of the tax law: $1.8 trillion.

The standard deduction. For the 2024 tax year , taxpayers can deduct $14,600 if they are single and $29,200 if they are married and file jointly. About 90 percent of taxpayers now use this deduction. Before the 2017 law, the standard deduction was just $6,500 for single tax filers and $13,000 for those who filed jointly. In 2026, the standard deduction would return to its old levels, plus inflation adjustments. The cost of an extension: $1 trillion.

The child tax credit. It’s $2,000 per child for those who qualify. ( Pending legislation would increase it through 2025.) It’s scheduled to drop in 2026 to $1,000. The cost of an extension: $600 million.

The business pass-through deduction. It allows some self-employed people whose business income “passes through” to their personal return to deduct up to 20 percent of qualified income . After a sunset, their individual income tax rates would be imposed. The cost of an extension: $548 billion.

The alternative minimum tax. It was originally intended to make sure that rich people paid at least some income tax. It affects only 0.1 percent of households now, but would be applied to 3.7 percent after a sunset, according to the nonpartisan Tax Policy Center. The cost of an extension: $1.09 billion.

Estate and gift taxes. Now, estates and lifetime gifts valued at $13.6 million are exempt. With a sunset, these numbers would drop to $5 million plus an inflation adjustment.

A shift in the estate tax threshold could create a grim, rich person’s problem. Remember the “ Throw Momma From the Train ” tax incentives that loomed inadvertently earlier this century? You might save a ton of money by timing the death of a wealthy benefactor very carefully over the next couple of years. The same is true for gifts. If you have millions in gifts to bestow, it might be smart to accelerate your giving.

The cost of an extension: $126.5 billion.

A Colossal Shrug

Effective — and humane — tax planning requires some sense of what the tax code will look like in the years ahead, but that’s exactly what we don’t have.

“I wouldn’t make any big assumptions about where this is going,” said Joel Dickson, who leads tax-planning research at Vanguard. “The one thing you can count on is greater uncertainty.”

Shifting income and, let us say, taxable events like the death of a rich aunt from 2026 into 2025 might save you money, assuming the current tax rules expire on schedule. But Congress might well step in, taxes might not rise and your various efforts could be a colossal waste of time. (As well as morally wrong, depending on what you might end up planning, let’s be perfectly clear.)

In fact, tax rates could be cut again, and the budget deficit might swell much further, even if it seems rational that they won’t. Much depends on the national elections. American politics isn’t entirely rational. That much is indisputable.

So pay your taxes now, and fortify yourself. An interesting political year awaits us, along with fresh fiscal challenges in 2025 and, especially, in 2026.
